By accessing or using OperatorMemo ("the Service"), operated by OperatorMemo ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.
OperatorMemo provides AI-generated business analysis memos ("Operator Memos") based on business concepts submitted by users. The Service uses artificial intelligence to generate strategic insights and recommendations.
3.1 Credit System: The Service operates on a credit-based system. Each Operator Memo generation costs 2 credits.
3.2 Credit Expiration: Credits expire 3 months (90 days) from the date of purchase. Expired credits cannot be refunded, transferred, or restored.
3.3 Credit Usage: Credits are consumed in First-In-First-Out (FIFO) order, meaning older credits are used before newer ones.
3.4 Payments: All payments are processed securely through Stripe. Prices are in USD unless otherwise indicated.
3.5 No Refunds: Due to the nature of digital services and AI generation costs, all purchases are final. No refunds will be issued for unused credits, including credits that have expired.
4.1 Account Security: You are responsible for maintaining the confidentiality of your account credentials.
4.2 Accurate Information: You agree to provide accurate and complete information when creating an account.
4.3 Acceptable Use: You agree not to use the Service for any illegal, harmful, or fraudulent purposes.
4.4 Content Responsibility: You are solely responsible for the business concepts you submit and how you use the generated memos.
5.1 Your Content: You retain ownership of the business concepts you submit.
5.2 Generated Memos: Upon payment and generation, you receive a non-exclusive license to use the generated memos for your personal or business purposes.
5.3 Service IP: The Service, including its algorithms, design, and branding, remains our exclusive property.
6.1 AI-Generated Content: Operator Memos are generated by artificial intelligence and are provided for informational and entertainment purposes only. They do not constitute professional business, legal, financial, or investment advice.
6.2 No Guarantees: We do not guarantee the accuracy, completeness, reliability, or usefulness of any generated content. Business decisions based on the memos are made at your own risk.
6.3 As-Is Service: The Service is provided "as is" and "as available" without warranties of any kind, either express or implied.
To the maximum extent permitted by law, OperatorMemo and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of the Service or reliance on generated content.
Our total liability for any claims arising from these Terms or your use of the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.
You agree to indemnify and hold harmless OperatorMemo, its operators, affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
We reserve the right to modify, suspend, or discontinue the Service at any time without prior notice. We may also update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the modified Terms.
We may terminate or suspend your account at our discretion if we believe you have violated these Terms. Upon termination, your right to use the Service ceases immediately, and any unused credits will be forfeited without refund.
These Terms shall be governed by and construed in accordance with the laws of Switzerland, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Geneva, Switzerland.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
